Terms of Service
What Brikli Is
Brikli is an AI-powered property operations platform for landlords, owners, and property managers. Core modules include: landlord portal (rent, leases, accounting, tasks), tenant portal (payments, requests, messaging), and vendor marketplace/bidding. Optional integrations include AI document parsing, identity/auth and database, secure file storage, and cloud infrastructure services. Brikli processes customer data to provide the services and, where applicable, acts as a data processor on behalf of our customers.
Acceptance
By creating an account, clicking "Accept," or using Brikli, you agree to this EULA/TOS and all incorporated policies (Privacy Policy, AUP, DPA, and Annexes). If you are entering into this Agreement on behalf of a company, you represent you have authority to bind that company. If you do not agree, do not use Brikli.
Definitions
- Customer — The entity or individual that purchases or uses the Services.
- Authorized Users — Employees/agents invited by Customer.
- Customer Data — Data submitted to Brikli by Customer or Authorized Users (e.g., tenants, leases, payments, documents).
- Services — The Brikli web apps, APIs, mobile features, and related support.
- Third-Party Services — Services not owned by Brikli (e.g., payment processors, AI service providers, authentication providers, cloud infrastructure providers).
Account, Eligibility, and Compliance
You must be legally capable of entering contracts. The Services are not for children under 14. If used for student housing, Customer is responsible for obtaining any required parental consent for minors under Québec Law 25/GDPR (see Privacy Policy).
Subscription, Free Trials, and Fees
- Plans and Trials: We may offer free trials (e.g., 45 days). Trials convert to paid unless cancelled before the end of the trial.
- Billing: Fees are charged in advance (monthly/annual) through our secure payment processor. Taxes are additional.
- Changes: We may adjust pricing or plan features on renewal or with reasonable notice for month-to-month plans.
- Late/Failed Payments: We may suspend for non-payment.
- Refunds: Except where required by law, fees are non-refundable.
License, Access, and Restrictions
License: Subject to this Agreement, Brikli grants Customer a non-exclusive, non-transferable right for Authorized Users to access the Services during the term.
Restrictions: No reverse engineering, scraping, benchmarking without consent, or use to build a competing product. No unlawful, infringing, defamatory, or harmful content. Comply with the Acceptable Use Policy.
Fair Use: We may apply reasonable technical limits to protect service integrity.
Intellectual Property and Feedback
Brikli and its licensors retain all IP rights in the Services, code, designs, and documentation. Customer retains rights in Customer Data. By submitting Feedback, Customer grants Brikli a royalty-free, perpetual license to use it to improve the Services.
Data Ownership, Roles, and Processing
Ownership: Customer owns Customer Data.
Roles: For landlord/tenant operational data, Brikli is a processor acting on Customer's documented instructions. For Brikli's own website analytics, billing, and account administration, Brikli is a controller.
Instructions: Customer instructs Brikli to process Customer Data to provide, maintain, secure, and support the Services and to use approved Sub-processors.
Integrations and Third-Party Services
Choice: Integrations are optional. If enabled, data may flow between Brikli and the Third-Party Service.
Separate Terms: Third-Party Services are governed by their own terms and privacy policies. Brikli is not responsible for them.
Flow-Downs: Customer agrees to comply with any provider-required terms to use the integration. Providers may request removal of an offending Customer or integration; Brikli may act accordingly.
AI and Automated Features
Security, Availability, and Support
We implement industry-standard organizational and technical measures. The Services are provided with reasonable skill and care. We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated when practicable.
Open Source
The Services may include open-source components subject to their licenses. We will provide notices upon request.
Confidentiality
Each party will protect the other's Confidential Information using at least the same care it uses for its own. Customer Data is Confidential Information. Exceptions apply for information that is public, independently developed, or received without duty of confidentiality.
Indemnities
Customer Indemnity: Customer will defend and indemnify Brikli against third-party claims arising from (i) Customer Data, (ii) use of the Services in breach of this Agreement, or (iii) violation of law or third-party rights by Customer.
Brikli IP Indemnity: Brikli will defend Customer against claims that the Services infringe a third party's IP right, and will (at our option) obtain rights, modify the Services, or terminate and refund prepaid fees for the remaining term. This does not apply to combinations not provided by Brikli or to Customer Data.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIKLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIKLI'S LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
Term and Termination
This Agreement remains in effect until terminated. Either party may terminate for material breach if not cured within 30 days of notice. Upon termination, Customer's access ends and data may be deleted according to our data retention policies.
Governing Law and Dispute Resolution
This Agreement is governed by the laws of Quebec, Canada, without regard to conflict of laws principles. Disputes shall be resolved in the courts of Quebec.
General Provisions
This Agreement constitutes the entire agreement between the parties. If any provision is unenforceable, the remainder shall remain in effect. We may update these terms with reasonable notice.
